Naath Foundation Constitution

A framework for governance, accountability, and cultural stewardship.

1. Name

The name of the organisation is Naath Foundation Inc.

2. Purpose (Objects)

  • Preserve and promote the cultural heritage of the Nuer (Naath) people
  • Digitise and archive oral histories and traditions
  • Support language preservation and education
  • Provide accessible cultural and educational resources
  • Encourage community engagement and research
  • Promote unity, identity, and ethical leadership

3. Not-for-Profit Nature

The organisation operates as a not-for-profit entity. All income must be used to support its mission and not distributed to members.

4. Membership

Membership is open to individuals who support the Foundation’s purpose and agree to its principles.

5. Governance Structure

  • Founder / Chairperson
  • Secretary
  • Treasurer
  • Additional Committee Members

6. Role of the Committee

  • Strategic direction
  • Financial oversight
  • Governance and compliance

7. Meetings

The Foundation will hold Annual General Meetings (AGM) and regular committee meetings as required.

8. Financial Management

Financial records must be maintained, and funds must be used solely for the organisation’s purposes.

9. Conflict of Interest

Members must disclose conflicts and act in the best interest of the Foundation at all times.

10. Code of Conduct

11. Amendments

This Constitution may be amended by majority vote at a general meeting.

12. Dissolution

If dissolved, assets must be transferred to another not-for-profit organisation.
